Corporate Counsel

POSITION:
Corporate Counsel position within the Legal Department for TIC Holdings, Inc. (“TICH”). This position will be located in TICH’s Denver office but will require occasional travel to our headquarters in Steamboat Springs, Colorado and to other locations.

OVERVIEW:
This position requires an attorney capable of dealing with the daily legal issues arising from TICH’s diverse international industrial construction businesses. Markets served by TICH companies include power, mining, oil/gas/chemical, maintenance/general services, renewable energy, cement, commercial electrical, agriculture, water treatment and pipeline work. This is a professional position with minimal supervision. The Corporate Counsel must be thorough, precise and detail-oriented, and at the same time be capable of assessing risks from a "big picture" perspective with input from others. The Corporate Counsel must be able to successfully balance work load demands from multiple parties simultaneously. Ability to communicate effectively in person and in writing is critical.

REPORTS TO: TICH General Counsel/Vice President

EDUCATION AND TRAINING:
Juris Doctor degree reflecting academic success together with appropriate legal experience of at least five years, ideally with an emphasis on construction matters or complex commercial transactions. Membership in the Colorado Bar or willingness to sit for appropriate exams.

ESSENTIAL FUNCTIONS:
Position duties will encompass a broad range of general corporate and contract matters,
including:
· Providing legal counsel and advice to operating units within our companies as well as to individual project teams.
· Use of sound business judgment to timely identify and raise critical issues to senior management and assist in formulating effective strategies for mitigation or resolution.
· Performing detailed review and drafting of a variety of construction related contracts including, partnering agreements, major equipment purchase orders, design service contracts and EPC contracts. This process will require working closely with other departments within our companies and communicating items of concern.
· Negotiation of contract terms with project owners, subcontractors and suppliers.
· Support of project teams in understanding and implementing contract requirements.
· Assisting with resolution of claims and litigation. Advising senior management of the nature and status of claims and litigated matters including risk assessment, budgeting, scheduling and recommended course of action. Negotiation of the resolution of issues, draft settlement
agreements. Dealing with insurers and managing outside counsel with respect to construction and general commercial claims and litigation matters.
· Providing training in legal concepts and concerns to Company personnel.

COMPENSATION AND BENEFITS
